Langar Investment Management, LLC announce that the board of directors has approved the liquidation and closure of Langar Global HealthTech ETF
Los Angeles, September 30, 2026 / PRNewswire / -- Langar Investment Management, LLC (hereinafter referred to as "Advisors") today announced that the Trust Fund Board of Directors (hereinafter referred to as "Board of Directors") has approved a liquidation and termination plan (hereinafter referred to as "Plan") to terminate, liquidate, and close Langar Global HealthTech ETF (code: LGHT, hereinafter referred to as "Fund"). This fund is one of the funds under Spinnaker ETF Series.
The decision of the board of directors was made after the consultants submitted their comprehensive recommendations. The consultants assessed the current asset size of the fund, its historical growth, and the ongoing prospects for investor demand, and ultimately concluded that liquidating the fund was in the best interest of both the fund and its shareholders.
Operation Arrangements and Cboe BZX Shutdown Schedule
The fund will gradually cease operations according to the following anticipated schedule:
- Suspension of share creation: Effective from the close of trading on October 28, 2026, the fund will no longer accept new creation unit orders submitted by authorized participants.
- Last trading day on the public secondary market: The last trading days for these fund shares on Cboe BZX Exchange and Inc will be October 30, 2026. The fund shares will be suspended from trading before the opening on November 2, 2026, and will subsequently be delisted from Cboe BZX.
- Liquidation Date and Final Cash Distribution: On or around October 30, 2026 (the “Liquidation Date”), the fund will distribute the remaining assets to shareholders who are registered as of the record date and have not sold their shares prior to that time, in cash on a pro rata basis.
Important Notice to Shareholders
Secondary Market Trading: Shareholders can still buy and sell shares of this fund at Cboe BZX until the close of trading on October 30, 2026. Such transactions may be subject to normal brokerage commissions and transaction fees.
Portfolio Transition and Deviation from Strategy: In order to comply with liquidation requirements, the fund will begin to dispose of its underlying portfolio holdings and shift to holding cash or cash equivalents. During this transitional period of gradual cessation of operations, the fund's cash position will increase, and it will deviate from its established investment objectives and strategy.
Tax Treatment Notice: For shareholders who hold positions in this fund within taxable accounts, the final liquidation distribution constitutes a taxable event. Shareholders who still hold shares will automatically receive cash in their brokerage accounts. The company strongly advises shareholders to consult their tax advisors to understand the specific tax implications of this liquidation, including potential capital gains or capital losses.
