(Nasdaq ticker: SGP , hereinafter referred to as “SpyGlass Pharma” or “the Company”) announced today that it has acquired Advanced Vision Science , a manufacturer of ophthalmic medical devices, intraocular lenses, and lens materials, for all of its outstanding common shares at a cash consideration of approximately $13 million.

The company stated that this acquisition has secured scalable commercial manufacturing capacity for IOL. AVS was previously a wholly-owned subsidiary of Santen Pharmaceutical Co., Ltd. (Santen), and it is also the current supplier of IOL used by SpyGlass Pharma in two evaluation BIM - IOL System during the III phase of registration trials.

According to the agreement, AVS will become the exclusive manufacturer and supplier of various IOL products for Santen in Japan. In addition, AVS will continue to authorize Bausch + Lomb to use its non-reflective (glistening-free) hydrophobic acrylic lens material for the enVista ® IOL product line, as well as to produce products for other global IOL companies.

It is designed to be implanted during routine cataract surgery in order to reduce elevated intraocular pressure in patients with open-angle glaucoma ( OAG ) or ocular hypertension ( OHT ).

BIM - IOL System aims to provide continuous and stable delivery of bimatoprost for a period of three years. Bimatoprost is a prostaglandin analog that was approved by the US FDA in 2001 for local administration to reduce elevated IOP in patients with OAG or OHT.

The company has initiated two Phase III registration clinical trials for BIM - IOL System, and continues to conduct long-term follow-ups on patients participating in Phase I/ II studies to evaluate the safety and effectiveness of BIM - IOL System.
