Shanghai, October 8th / PRNewswire / -- Lufax Holdings Co., Ltd. ("Lufax" or "the Company") ( NYSE : LU, HKEX : 6623), a leading financial services empowerment platform for small and micro business owners in China, announced today the results of the special general meeting of shareholders held in Shanghai on October 8, 2026.
At this meeting, the following resolutions were officially adopted as ordinary resolutions:
- Approve, confirm, and ratify the amendment and supplementary agreement regarding the extension of the maturity date of the outstanding Ping An Overseas Holdings convertible promissory note by one year, from October 8, 2026, to October 8, 2027;
- Subject to the approval of the Stock Exchange for such extension, grant the Board of Directors special authority to issue and distribute new shares with a par value of $2.32 per share (subject to adjustment) in the company's capital stock when exercising the conversion rights in accordance with the terms and conditions of the convertible promissory notes of Ping An Overseas Holdings (as amended by the extension);
- Authorize any director to sign all relevant documents and agreements on behalf of the company, and to take all necessary, appropriate, or suitable actions and arrangements at their discretion deemed necessary for the implementation, postponement, amendment, or supplementation of the agreements, as well as all related incidental matters.
