Chicago, October 15 (Reuters) / PRNewswire / -- Private equity firm GTCR announced today that it has co-led a $200 million investment in Sophos. Sophos is a global provider of cybersecurity software and services and is also a portfolio company of Thoma Bravo. This fundraising for the secondary lien term loan is related to the refinancing of Sophos's existing $2.45 billion first lien term loan.

Sophos is headquartered in Oxford, UK, and also has significant operational presence in the United States, serving approximately 625,000 customers, mainly small and medium-sized enterprises (SMEs) and mid-market organizations. Its products include endpoint and network protection, as well as managed detection and response ("MDR") services. These services combine technology with outsourced security services to monitor customers' technical environments. In February 2025, Sophos acquired Secureworks, adding an enterprise-oriented MDR business to its cybersecurity product portfolio.

This investment was made after the first Capital Solutions Fund was closed on GTCR. Recent investment cases of this fund include TELUS Health and Solmetex. GTCR indicates that, relying on its profound industry experience and structural design capabilities, Capital Solutions will provide customized minority equity structured investments to high-quality enterprises.

GTCR, the Managing Director, stated: "We are very pleased to collaborate with Thoma Bravo and the management team of Sophos. Our ongoing communication with Thoma Bravo and our familiarity with the industry have enabled us to take prompt action to meet the financing needs of Sophos. This transaction demonstrates our ability to work with existing owners and management to design customized capital solutions."

Thoma Bravo, the Managing Director and Head of Capital Markets, stated: "During the Sophos refinancing process, GTCR adopted a pragmatic and collaborative approach. Their understanding of the industry, as well as their ability to respond quickly in the advancement of the process, made them a constructive partner. We are grateful for their support of Sophos."
