Share Split Details
Key dates. Class A common shares are expected to begin trading on the NASDAQ capital market on October 26, 2026, at a price adjusted for stock splits.
Proportion and mechanism. According to the stock split, each issued Class A common share and each issued Class B common share will automatically be split into 10 shares of the same class. Therefore, for each share held by shareholders before the split, there will be 10 shares of the corresponding class after the split (i.e., an additional 9 shares per share). Class A common shares will continue to trade on the NASDAQ capital market under the code “BUUU”. After the stock split, the new code “CUSIP” for Class A common shares will become “G1739L110”.
Authorization and issued shares. With the share split, the maximum number of shares authorized to be issued by the company will increase proportionally from 500 million par value-free common shares to 5 billion par value-free common shares, including 2.5 billion Class A common shares and 2.5 billion Class B common shares.
Rights and ownership remain unchanged. The rights and restrictions attached to each class of shares remain unchanged, including 1 voting right per share of Class A common stock and 20 voting rights per share of Class B common stock; the shares resulting from the stock split will enjoy equal status in all respects. The stock split will not change the percentage of ownership or voting rights of any shareholder in the company. This split will not result in any fractional shares.
Apart from holding the physical stock certificates, no further action is required. Shareholders do not need to take any action. For shareholders who hold Class A common shares through banks, brokers, or other nominal holders, their holdings will be automatically adjusted according to the specific procedures of the nominal holders to reflect the stock split. The company's transfer agents VStock Transfer, LLC (“VStock”) will update the registered shareholders' holdings in a bookkeeping manner. Registered shareholders who hold stock certificates will be required to submit a transfer letter to VStock in order to return their certificates and exchange them for the right to hold common shares in electronic bookkeeping form after the split.
Unpaid securities. For warrants and other securities that the company has not yet exercised, converted, or settled, as well as those that can be exercised, converted, or settled into Class A common shares, the number of Class A common shares that can be issued, as well as the exercise price or other per-share terms, will be adjusted proportionally according to their respective terms.
