Shanghai, November 2nd / PRNewswire / -- Technology-driven mobile game publisher Gamehaus Holdings Inc ("Gamehaus" or "the Company") (Nasdaq ticker: GMHS) announced today that it has signed final share purchase agreements ("Share Purchase Agreements") with certain selling shareholders to acquire the existing shares of Techforge Co, Ltd ("Techforge"), which includes an entity controlled by the company's founder and chairman, Feng Xie. The total transaction value is $19.6 million ("Share Purchase"), to be paid by issuing Gamehaus A class common shares. Techforge is the holding company of Anamana Pte. Ltd is an integrated, AI native micro-series platform, production platform, and global creator ecosystem incubator ("Anamana").

Almost simultaneously with the signing of the share purchase agreement, Gamehaus also signed a share subscription agreement (“Share Subscription Agreement”) with Techforge. Under this agreement, Gamehaus will make a cash investment of 7 million US dollars (“Cash Capital Investment”) directly to Techforge. Upon the completion of both the share purchase and the cash capital investment (collectively referred to as the “Proposed Transaction”), Gamehaus is expected to hold approximately 56% of the equity in Techforge.

The proposed transaction aims to transform Gamehaus from a mobile game publisher into a broader AI content production and distribution platform. Upon completion of the transaction, the company plans to establish Anamana as a new business within its portfolio and build it into the main engine driving the future growth of Gamehaus. Gamehaus will continue to manage its existing gaming business, with a focus on cash flow and profitability.

Anamana's long-term strategy is to expand its content production and distribution capabilities based on its AI native micro-short drama business, and gradually develop personalized, interactive entertainment content in collaboration with globally selected creators. After the transaction is completed, Gamehaus will also adopt this long-term strategy, combining its experience in distribution, user acquisition, data analysis, and monetization with Anamana's AI auxiliary production platform, creator ecosystem, and distribution channels.

Gamehaus Founder and Chairman Feng Xie stated: "We see an opportunity to apply the capabilities we have built in the gaming field to a broader AI driven entertainment sector. Starting with Anamana's micro-series business, our goal is to create a platform that connects content creation with distribution and provides increasingly personalized and interactive experiences. We hope to advance this opportunity with prudent investment and commercialization methods."

Transaction Overview

According to the share purchase agreement dated November 2, 2026, the company will acquire a total of 7,778 ordinary shares from some of the selling shareholders of Techforge, for a total consideration of $19.6 million. In relation to the share purchase agreement, on November 2, 2026, Gamehaus also signed another subscription agreement with the aforementioned Techforge seller. The agreement stipulated the issuance of approximately 24.5 million Class A common shares of the company at a price of $0.80 per share ("consideration shares"). These consideration shares will be issued under an exemption from registration under Section 4(a)(2) of the revised Securities Act of 1933 through a private placement. The company will also, in accordance with the share subscription agreement dated November 2, 2026, directly pay an additional $7 million in cash to Techforge to subscribe for 2,526 newly issued ordinary shares of Techforge. This capital contribution is expected to be funded by the company's own funds and will be completed immediately upon the completion of the share purchase. After the completion of the share purchase and the cash capital investment, Gamehaus is expected to hold approximately 56% of the equity in Techforge.

The proposed transaction and the issuance of consideration shares are expected to be completed in November 2026, but certain customary delivery conditions must be met or exempted. This proposed transaction does not require the approval of the company's shareholders.
