( NYSE : PNC ) Today, we announce that we will redeem $525 million in depositary shares ( CUSIP : 693,475 AQ8 ) on November 1, 2026 (hereinafter referred to as "depositary shares"). Since that day is not a business day, the redemption date will be postponed to November 2, 2026. The aforementioned depositary shares represent the interests of PNC fixed-to-floating rate, non-cumulative, perpetual Series S preferred stocks (hereinafter referred to as " Series S preferred stocks").
Each depositary share represents 1/100 of the rights of each share of Series S preferred stock. A total of 525,000 outstanding depositary shares will be redeemed.
The redemption price for the depositary shares is $1,000 per share. This redemption price does not include any dividends that have been declared but not yet paid. PNC indicates that if any semi-annual dividends have been declared but not yet paid prior to the redemption date, such dividends will be paid to the holders recorded on the record date set by the board of directors of PNC before the redemption date.
These depositary shares are held through the American Depository Trust Company ( DTC ) and will be redeemed in accordance with the procedures outlined in DTC. According to the depositary agreement for such depositary shares, the payment will be made by the depository institutions Computershare Trust Company and N.A to DTC.
