Allegations in the case

AST SpaceMobile and its subsidiaries are engaged in the design and development of BlueBird satellite constellations. According to the indictment, in September 2025, telecommunications company EchoStar Corporation announced that it had reached a final agreement with SpaceX to sell its AWS-4 and H-block spectrum licenses (hereinafter referred to as the “EchoStar transaction”).

The indictment states that in relation to transactions involving EchoStar, SpaceX and EchoStar Corporation agreed to sign a long-term business agreement, enabling users of Boost Mobile under EchoStar to access the next-generation direct-connected cellular network (D2C) services provided by Starlink Services, a telecommunications subsidiary of SpaceX.

AST SpaceMobile Class action claims that the defendant made false and/or misleading statements throughout the class action period, and/or failed to disclose the following facts:

  • The continuously increasing capital requirements of AST SpaceMobile may lead to a higher debt burden for the company and cause a dilution of equity in a more frequent and larger scale than what was implied to investors by the defendant;
  • Therefore, the defendant exaggerated the adequacy of the capital and liquidity of AST SpaceMobile to achieve its strategic and business objectives;
  • The defendant also exaggerated the durability of AST SpaceMobile's competitive position in the satellite D2C market;
  • Even after the EchoStar transaction, the defendant continued to exaggerate AST SpaceMobile's competitive position in the satellite D2C market;
  • AST SpaceMobile is facing a slow adoption rate among users in the United States and Japan;
  • The aforementioned situation is likely to have a significant negative impact on the business and financial prospects of AST SpaceMobile.
  • Therefore, the defendant's public statements at all relevant time points were significantly false and misleading.

Lead plaintiff program
