Key points:

  • SEC staff identifies Canton Coin as a digital product
  • Specific programmatic token issuance enjoys conditional regulatory exemptions.
  • Decentralized governance has become the core of SEC's analysis.

The Financial Department of the U.S. Securities and Exchange Commission (SEC) has classified Canton Coin (CC) as a digital commodity and provided conditional regulatory exemptions for its issuance, providing a concrete example of how blockchain networks can distribute tokens without the need for securities registration.

In a letter of no objection issued on November 3, the staff of SEC stated that they would not recommend taking law enforcement action regarding certain programmed minting activities by the validators of Canton Network and the application providers.

This decision is based on the cryptocurrency classification framework released by that institution in March. The framework distinguishes digital commodities from assets issued through securities investment contracts.

SEC Why does Canton Coin被视为数字商品?

This response stemmed from an application submitted on October 30th on behalf of Canton, the developer of the blockchain protocol Digital Asset Holdings.

SEC staff emphasized two characteristics: The native token value of Canton comes from network activity and supply-demand dynamics, and the operation of this blockchain does not rely on a central entity with decisive control.

These findings are highly consistent with the decentralized governance guidelines released by the institution in November.

According to the submission materials of Digital Asset, Canton Coin is used to pay for network synchronization fees and to reward participants who provide infrastructure or application services.

New tokens will be minted based on measurable activities, including verification, transaction sorting, and application usage.

The submission also states that holding CC does not automatically generate passive income, nor does it grant the holder any rights to the profits or assets of Digital Asset.

The governance structure is also an important consideration. Neither Digital Asset nor Canton Foundation can unilaterally change the protocol parameters; any revision requires the approval of at least two-thirds of the Super Validator operators.

What does the regulatory exemption of Canton Coin actually cover?

The stance of the SEC staff is only applicable to the circumstances described in the Digital Asset application, regarding the programmed minting conducted by Super Validator, Validator, and the application provider.

The potential law enforcement recommendations it covers involve Article 5 of the Securities Law and Article 12(g) of the Trading Law, both of which are related to securities registration requirements.

However, this response does not authorize the issuance of all Canton Coin in the future, nor does it mean that all token distributions are exempt from securities laws.

Different from the broad topics discussed in the interpretation articles by Coinpaper regarding the issues of SEC and CFTC, this letter is aimed at a specific network and issuance mechanism.

SEC clearly warns that different facts may lead to different judgments.

The institution also clarified that this letter reflects the law enforcement recommendations of the staff, rather than the final legal conclusion.

Why this decision is important for the adoption of institutional-level blockchain

Canton is becoming increasingly prominent in the field of institutional tokenization, and financial companies require transaction privacy, compliance control, and interoperability.

In October, the custodian trust and clearing company ( DTCC ) launched a tokenization service involving Canton , which connects blockchain infrastructure with securities representing a market value of approximately $30 trillion.

Canton also attracted regulated investment products earlier this year, including an exchange-traded product launched by Bitwise in Europe.

At the same time, Ripple has expanded its institutional hosting services to support Canton Coin and related tokens.
